1. Introduction

These Terms & Conditions (“Terms”) govern your access to and use of the Market Llama platform (“Platform”), including all applications, dashboards, systems, managed-account features, automation modules, and related services (“Services”) provided under Lee Henry Inc.

By creating a Market Llama account, connecting a broker account, subscribing to any plan, or using the Platform in any capacity, you acknowledge that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, and our Risk Disclosure.

If you do not agree to these Terms, you must discontinue use of the Platform immediately.

2. Definitions

For purposes of clarity:

  • “Company”, “We”, “Us”, “Our” — Market Llama, operated under Lee Henry Inc.
  • “User”, “You”, “Your” — Any individual or entity accessing or using the Platform.
  • “Platform” — The Market Llama website, dashboard, software, APIs, automation systems, tools, mobile components, and all technical infrastructure.
  • “Services” — Automated trading execution, account management, AI analytics, risk systems, and portfolio tools provided by Market Llama.
  • “Managed Account” — A third-party trading account (e.g., Deriv account) connected to Market Llama using API keys or access credentials.
  • “Broker” — Any third-party trading provider supported by the Platform (e.g., Deriv).
  • “Subscription” — Monthly or recurring payments for access to Market Llama Services.

3. Eligibility for Use

To access the Platform, you must:

  • Be at least 18 years of age.
  • Possess full legal capacity to authorize automated trading.
  • Maintain a valid supported broker account.
  • Not be prohibited from using such technology under your local laws.
  • Agree that your use of the Platform is voluntary and fully at your discretion.

4. Nature of Market Llama Services

Market Llama provides technology-enabled, automated account management, including:

  • Execution of trades via user-authorized API keys
  • Algorithmic automation
  • Advanced market analytics
  • Systematic risk controls
  • Portfolio insights
  • Strategy-based account optimization

Market Llama does NOT:

  • Hold or custody user funds
  • Act as a broker, exchange, or financial advisor
  • Execute withdrawals or deposits on your behalf
  • Guarantee profits, outcomes, or specific monthly returns
  • Provide individualized investment advice

All funds remain fully under the custody of the user’s connected broker account.

5. Account Connection & Authorization

When you provide your broker Login ID and API Token, you:

  1. Authorize Market Llama to execute trades on your behalf.
  2. Confirm that you fully understand the implications of automated execution.
  3. Accept all trade outcomes generated by the system.
  4. Acknowledge that the Platform requires this access to perform its Services.

You acknowledge that:

  • Market Llama cannot trade if your token expires or is revoked.
  • Market Llama is not responsible for downtime caused by your broker.
  • Incorrect credentials provided by you may lead to failure of service.
  • You may disconnect your account at any time.

6. Account Security & User Obligations

You agree to:

  • Maintain confidentiality of your Market Llama login credentials.
  • Not share your credentials with anyone.
  • Use accurate information when connecting broker accounts.
  • Ensure your broker account maintains adequate margin and balance.
  • Immediately notify us of any unauthorized access.

You understand that account size influences risk, and that smaller accounts face higher volatility.

7. Subscription, Billing & Payments

Market Llama operates via recurring subscription plans.

By subscribing, you acknowledge that:

  • Fees are charged monthly or annually depending on your plan.
  • Payments are processed by approved third-party partners (Flutterwave, Paystack, Stripe, etc.).
  • All fees are non-refundable, except where required by applicable law.
  • Failure to complete payment may result in suspension of automated trading.
  • You must maintain an active subscription to continue using managed account services.

Chargebacks or fraudulent claims will result in immediate service termination.

8. Performance & Market Risk

You acknowledge the following:

  1. All trading carries financial risk, including potential loss of capital.
  2. Performance may vary based on market volatility, liquidity, time of day, account size, and system execution.
  3. Small accounts are more sensitive to:
    • High volatility
    • Margin pressure
    • Rapid drawdowns
    • Slippage and spikes
  4. Larger accounts can withstand fluctuations better but remain exposed to all market risks.
  5. Market Llama applies disciplined, data-driven strategies, but risk cannot be eliminated.

By using the Platform, you accept full responsibility for risk exposure associated with your account.

9. No Financial or Investment Advice

Market Llama does not provide:

  • Financial advice
  • Investment recommendations
  • Personalized asset allocation
  • Profit guarantees
  • Financial planning services

All tools, insights, and automated executions are provided on an as-is basis and should not be interpreted as personal financial advice.

10. Technology & System Limitations

You acknowledge that:

  • Technology may experience downtime, bugs, delays, or errors.
  • System performance may rely on the stability of your broker.
  • Internet connectivity issues may impact execution.
  • Market Llama cannot guarantee uninterrupted service.
  • Updates or maintenance may temporarily affect performance.

We are not liable for losses resulting from technical interruptions.

11. Privacy & Data Protection

Market Llama collects and processes user data in accordance with our Privacy Policy.

We:

  • Encrypt sensitive information
  • Do not store your API Token in plain text
  • Do not sell or distribute your trading data
  • Comply with relevant data protection regulations (including NDPR/GDPR principles)

You are responsible for protecting your account password and access devices.

12. Prohibited Activities

You agree not to:

  • Use the Platform for illegal activity
  • Reverse engineer or tamper with Market Llama systems
  • Create multiple fraudulent accounts
  • Share or distribute platform content without permission
  • Provide misleading or false information
  • Circumvent subscription payments

Violations may result in termination of service and possible legal action.

13. Limitation of Liability

To the fullest extent permitted by law:

  • Market Llama is not liable for indirect, incidental, special, or consequential damages.
  • We are not responsible for losses related to market events, broker issues, API disconnections, slippage, latency, or liquidation.
  • The maximum liability of Market Llama shall not exceed the total subscription fees paid by you in the last 90 days.

You agree to indemnify and hold Market Llama harmless from claims arising from your use of the Platform.

14. Suspension & Termination

We may suspend or terminate your account for:

  • Violation of these Terms
  • Fraud or suspicious activity
  • Chargebacks or failed payments
  • Misuse of automated systems
  • Abusive or harmful conduct

You may terminate your account at any time by contacting support or discontinuing use.

15. Modifications to Terms

Market Llama reserves the right to update, modify, or revise these Terms at any time. Notices may be provided by email or via Platform announcements. Continued use of the Platform after changes constitutes acceptance of updated Terms.

16. Governing Law

These Terms are governed by the laws of your operating jurisdiction. Any disputes shall be resolved under the applicable legal framework of that jurisdiction.
